All invoices are payable within 10 days of issue. A £25 administrative fee is payable on all overdue balances and we also reserve the right to charge interest on overdue balances. The grant of any license or right of copyright is conditional on receipt of full payment.
Default in payment
The Client shall assume responsibility for cost outlays by designer in all collections of unpaid fees and of legal fees necessitated by default in payment. Invoices in default will include but are not limited to fees for collection and legal costs.
The fees and expenses shown are minimum estimates only and additional work will be charged at the hourly rate of £25 p/h.
Unless your package includes copyright on the design, no amendments may be made to the design other than by us or with our written consent.
The Client shall reimburse the Designer for all expenses arising from this assignment, including the payment of any sales taxes due on this assignment, and shall advance the Designer for payment of said expenses, including but not limited to Fonts, Stock Photography, Artwork and/or material needed for the project. You will be required to pay a non refundable deposit to cover our outlays for the various items listed above and we will not process your designs until such deposit is paid.
In the event of cancellation of this assignment, ownership of all copyrights and the original artwork shall be retained by the Designer. A cancellation fee for work completed and expenses already incurred, shall be paid by the Client. Cancellation fee is based on the hours submitted, if the project is on an hourly basis or a percentage based on the time estimate for the entire job. A 100% cancellation fee is due once the project has been finished, whether delivered to the client or not. If the project is on an hourly basis and the project is cancelled by the client, the client agrees to pay no less than 100% of the hours already billed for the project at the time of cancellation plus any expenses incurred for Fonts, Printing, Materials required and so forth.
Other Copyright occurrences
Client shall obtain written copyright permission for any photographs, images or designs that they would like to use in the concept created by Designs by Kirsten.
Ownership and return of artwork.
The Designer retains ownership of all original artwork, whether preliminary or final, and the Client shall return such artwork within 30 days of use unless indicated otherwise below. If a copyright package is required,additional costs will apply. If the Client wishes the ownership of the rights to a specific design or concept, these may be purchased at costs to be advised to you.
You are not permitted to display the designs on-line without the consent of the Designer, and the Designer’s consent, if given, may be subject to you crediting the work of the Designer or other creators as part of that on-line display.
The Client shall indemnify the Designer against all claims and expenses, including legal fees, due to the uses for which no release was requested in writing or for uses that exceed authority granted by a release.
Modifications of the terms of this contract must be written and authorised by both parties.
Limitation of liability
Client agrees that it shall not hold the Designer liable for any incidental or consequential damages that may arise pursuant to this contract.
Designs by Kirsten shall be indemnified by the Client in respect of any claims, costs and expenses arising out of any libellous matter or any infringement of copyright, patent design or any other proprietary or personal rights contained in any material supplied by the Client. The indemnity shall extend to any amounts paid on a lawyer’s advice in settlement of any claim.
Acceptance of terms
The signature of both parties shall evidence acceptance of these terms.
G.D.P.R (Data Protection) Designer commits to keeping all client personal/correspondence contact details confidential and WILL NOT circulate these details without prior consent of the client. Client consents to the Designer keeping contact details (email, phone number and business/correspondence address) after the project has finished in order for Designer to contact client in the future for reviews, feedback, information sharing/gathering purposes.
